These Terms of Service (“Terms”) govern your access to and use of PriceWhisper, a voice-first travel price intelligence application operated by Fitts Company LLC (“we,” “us,” or “our”), a Virginia limited liability company. The Service is accessible at pricewhisper.ai and related subdomains.

By creating an account or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to create an account or use the Service. By using PriceWhisper, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable law
• The information you provide during registration is accurate and complete

If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

To access most features of PriceWhisper, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials confidential and do not share them with others
• Notify us immediately through our Contact Us page if you suspect unauthorized access to your account
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or have been inactive for an extended period.

3. The Service: What PriceWhisper Does

PriceWhisper provides voice-activated, AI-powered price intelligence to help travelers determine whether prices they encounter abroad are fair. The Service:

• Accepts spoken price queries (referred to as “Asks,” also known as price checks) in any currency
• Uses artificial intelligence to analyze your Ask and return a verdict (Great Deal, Fair, Slightly High, or Rip-Off)
• Stores your Ask history within your account for reference

Important: PriceWhisper provides price guidance generated by AI analysis and is intended for informational purposes only. Verdicts are not guarantees of actual market prices, which vary by location, vendor, season, and negotiation. Always exercise your own judgment before making a purchasing decision.

We make no representation that our analysis is complete, current, or accurate for every location, item, or time period. We are not responsible for any financial loss resulting from reliance on the Service.

4. Subscription Plans and Billing

4.1 Available Plans

PriceWhisper offers the following subscription tiers. Pricing is displayed in the app and at pricewhisper.ai at the time of purchase:

4.2 Free Plan

The Free plan provides 10 Asks per 45-day rolling cycle at no charge. Free plan limits may be adjusted at our discretion with reasonable notice. Exceeding your limit will prompt an upgrade offer.

4.3 Paid Plans: General

All paid plans are processed through Stripe. By purchasing a paid plan, you authorize us to charge the payment method you provide. You represent that you are authorized to use that payment method.

Prices are listed in US dollars unless otherwise specified. We reserve the right to change pricing with at least 30 days notice to existing subscribers before any change takes effect.

4.4 Explorer Plan

The Explorer plan is a monthly subscription at $7.99/month, providing 150 Asks per billing cycle. The Explorer plan:

• Begins immediately upon purchase
• Renews each month automatically on your billing date
• Resets your 150-Ask allocation at the start of each new billing cycle
• Can be cancelled at any time from your account settings at pricewhisper.ai, or by contacting us through our Contact Us page at least 24 hours before your next billing date

Cancellation stops future charges but does not terminate your current month's access. You retain Explorer access until the end of your paid billing cycle.

4.5 Pro Annual Plan

The Pro Annual plan provides 700 Asks over 365 days with Expert and Advanced AI and renews automatically unless cancelled. You will receive a reminder email at least 5 days before your renewal date. To cancel auto-renewal:

• Cancel from within your account settings at pricewhisper.ai
• Or contact us through our Contact Us page at least 24 hours before your renewal date

Cancellation stops future charges but does not terminate your current plan period. You retain access until the end of your paid annual period.

4.6 Taxes

Prices displayed do not include applicable taxes. You are responsible for any sales tax, VAT, GST, or other taxes applicable to your purchase under the laws of your jurisdiction.

5. Refund Policy

We want you to feel confident purchasing PriceWhisper. Our refund policy is as follows:

Explorer Plan: Because the Explorer plan is a monthly subscription that begins immediately, refunds are available within 24 hours of a charge if you have not used any Asks in that billing cycle. After 24 hours or after your first Ask of the cycle, the monthly charge is non-refundable. You may cancel at any time to stop future charges.

Pro Annual Plan: You may request a full refund within 5 days of your initial purchase or renewal if you have used fewer than 10 Asks during that period. After 5 days, Pro Annual plans are non-refundable, but you retain access for the full annual period.

To request a refund, contact us through our Contact Us page and include your account email address. Approved refunds will be issued to your original payment method within 5–10 business days.

We reserve the right to deny refund requests where we reasonably believe the Service has been abused or the refund policy is being exploited.

6. Acceptable Use

You agree to use PriceWhisper only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable local, national, or international laws or regulations
• Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' accounts
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools, bots, or scripts to access or scrape the Service
• Misrepresent your identity or impersonate any person or entity
• Use the Service to transmit spam, malware, or any harmful content
• Resell, sublicense, or commercially exploit the Service without our prior written consent
• Circumvent any usage limits through multiple accounts or other means

Violation of these terms may result in immediate suspension or termination of your account without refund.

7. Voice Data and User Content

When you use the voice feature, your spoken words are transcribed locally on your device using your browser's built-in speech recognition. No audio is sent to our servers or to any third party. The transcribed text of your Ask is sent to our AI analysis provider for processing.

You grant PriceWhisper a limited, non-exclusive license to process the text of your Asks for the purpose of delivering the Service. We do not claim ownership of your Asks.

You represent that your use of the voice feature complies with all applicable laws in your jurisdiction.

8. Intellectual Property

PriceWhisper and all content, features, functionality, branding, and technology within the Service are owned by Fitts Company LLC or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms. Nothing in these Terms transfers any intellectual property rights to you.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, that AI-generated verdicts will be accurate for your specific situation, or that the Service will meet your specific requirements.

PriceWhisper is a guidance tool, not a financial advisor. Do not rely solely on our verdicts when making purchasing decisions, negotiating prices, or entering into contracts.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Fitts Company LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, reliance on any AI-generated verdict, or any third-party conduct.

In no event shall our total liability to you for all claims exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fitts Company LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or any content or Asks you submit through the Service.

12. Termination

You may close your account at any time by contacting us through our Contact Us page. Termination does not entitle you to a refund except as described in Section 5.

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms, conduct that is harmful to other users or third parties, prolonged inactivity, or non-payment of applicable fees.

Upon termination, your right to access the Service ceases immediately. Sections 8, 9, 10, 11, and 14 of these Terms survive termination.

13. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

We may update these Terms from time to time. For material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be submitted to informal negotiation by contacting us through our Contact Us page. If a dispute is not resolved within 30 days, it shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in Virginia.

You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration in connection with any dispute arising from these Terms or the Service.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and any other agreements referenced herein, constitute the entire agreement between you and Fitts Company LLC regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
